Interesting discussion about the proper relation between a corporation and the law . The "Chicago school" says that corporations should break laws if doing so (net of penalties) would increase profits. Others say that historically a corporation was created with a specific charter after which it should dissolve (Corporate Death Penalty), and that just going into new businesses was considered [Ultra Vires] ("beyond the power"), and a shareholder or the attorney general could file for an injunction.
